How to Setup a Business or LLC in Kentucky
Explanation of where to go, how to do it, things to consider and more.

Business Name
A first step is to decide on a business name. For the purpose of this guide, I'll use one of my clients, Fire Fist Forge, as an example. They are a scrap metal sculpture artist based in Barren County, Kentucky.
Once you've settled on a name, you'll want to do a free search of both the Kentucky business name and federal trademark database. In this case, neither identified a matching registration for Fire First Forge in the same or closely related services.

A note about trademarks: Registering an LLC in Kentucky requires your business name to be distinguishable from other businesses already registered in Kentucky. It does not automatically grant exclusive trademark rights. A federal trademark registration provides broader protection throughout the United States for the specific goods and services listed in the application. It does not automatically extend internationally. Before investing heavily in branding, signage, inventory, or advertising, consider conducting a more comprehensive trademark search or consulting a trademark attorney.
Forming Your Kentucky LLC
You'll go online to file your Articles of Organization through the Kentucky Secretary of State's website business portal.
Once registered, Kentucky requires every LLC to verify its business information annually. This filing updates your business address, registered agent, and other administrative information. Failure to file may result in administrative dissolution of your LLC.
Cost: $40 one time, $15 annually.
Due: During registration, then January 1st – June 30th.

Kentucky Business Taxes
Kentucky LLC's generally must file a Kentucky business tax return each year, it's essential to never mix personal with business. To do so is called "piercing the veil" and can result in losing the protection provided by the LLC.
Kentucky's Limited Liability Entity Tax (LLET) is not automatically $175 for every LLC. Many small businesses qualify for Kentucky's Small Business Exemption, reducing the LLET to $0. Eligibility depends on Kentucky gross receipts, gross profits, and other filing requirements. Your accountant or tax professional will determine whether any LLET is owed when preparing your Kentucky return.
Throughout the year, properly maintain clearly detailed and verifiable income and expense records for use when filing taxes. Good bookkeeping throughout the year makes tax season significantly easier. Some common categories include:

EIN (Employer Identification Number)
An Employer Identification Number (EIN) is issued by the IRS at no cost and is recommended for nearly every LLC, even if you don't have employees.
Most banks require an EIN before opening a business checking account.

Although not legally required for every LLC, maintaining a separate business bank account is considered a best practice.

Choosing a Bank
Community banks often provide more personalized service and build relationships with local business owners. Personally, I've had an excellent experience with South Central Bank in Glasgow. They're locally owned, knowledgeable about small businesses, and the account-opening process was straightforward.

Glasgow Business License & Occupational Tax
If your business operates within Glasgow city limits, you'll generally need to register with the City of Glasgow License Fee Division. Your accountant will prepare the required local return at the same time when they prepare your taxes.
Cost: $50 one-time, then $25 annual minimum + 1.75% of net profit allocable to Glasgow (if any). Only the $25 license will apply if you only conducted business in the county.
